[ENGLISH TRANSLATION – GENERAL TERMS AND CONDITIONS – MYON BAITS SRL]
The Parties shall be considered independent contractors and neither party shall be granted the right or authority to assume or create any obligation on behalf of or against the other. The terms and conditions of this contract supersede any prior written or verbal agreements between the Parties regarding the subject matter of this Agreement and may only be amended or modified in writing signed by both parties.
Article 1 – DEFINITIONS
The general terms and conditions of sale shall apply to all sales of goods and services by the company MYON BAITS SRL through the website myonbaits.ro to the Buyer and may be modified only with the express written consent of both parties. The following terms shall mean:
SELLER – MYON BAITS SRL – myonbaits.ro, with registered office in Deva, Str. Pietroasa, No. 21, 4th Floor, Apt. 61, Hunedoara County, Trade Registry No. J20/907/2016, VAT Code 36462167
BUYER – any natural or legal person placing an order online or by phone via myonbaits.ro
GOODS/SERVICES – Products, equipment, and materials listed in the virtual store, including their attachments, which may be the subject of an order
ORDER – an electronic document that acts as communication between the Seller and the Buyer, whereby the Seller agrees to deliver and the Buyer agrees to receive the Goods/Services and to make the corresponding payment
CONTRACT – the confirmed Order holds the value of a contract
ATTRIBUTES – product specifications, compliance characteristics
Article 2 – CONTRACTUAL DOCUMENTS
By placing an electronic or telephone order on the aforementioned website, the Buyer agrees to the communication format (phone or email) through which the Seller conducts business. The order shall consist of the following documents, in descending order of importance:

General Terms and Conditions of Sale
Order confirmation by the Seller constitutes full acceptance of its terms. Acceptance is deemed finalized upon verbal (phone) or electronic (email) confirmation from the Seller to the Buyer, without requiring acknowledgment of receipt. Unconfirmed orders shall not be considered as contracts by the Seller.
Article 3 – VALIDITY
This Contract enters into force upon confirmation of the Order by the Seller, by phone or email. The General Terms and Conditions of Sale, along with any applicable Warranty Certificate, form the basis of this contract.
Article 4 – EXTENSION OF SELLER'S OBLIGATIONS
4.1 The Seller shall use their professional and technical knowledge to achieve the results stipulated in the Order and deliver Goods and Services that meet the Buyer's requirements and specifications.
4.2 Information on the Seller’s website is for informational purposes and may be modified without prior notice. Product descriptions may be incomplete for formatting reasons, but the Seller strives to present relevant information.
4.3 Communication with the store can be through interaction, product reviews, or the contact section. Offensive or inappropriate content will be removed. The Seller reserves the right to manage content without justification.
Article 5 – ASSIGNMENT AND SUBCONTRACTING
The Seller may assign or subcontract third parties to fulfill the order, notifying the Buyer without needing their consent. The Seller remains fully responsible for contractual obligations.
Article 6 – INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS
The Buyer acknowledges the intellectual property rights and shall not disclose any information received from the Seller. The website name and graphics are registered trademarks of MYON BAITS SRL and may not be used without written consent.
Article 7 – CONFIDENTIALITY – PUBLICITY
All documents and information provided by the Buyer remain the Seller’s property, to be used only for executing the contract and shared only with written consent. No public statements or disclosures shall be made without prior written approval from the Seller.
Article 8 – DEADLINES AND PENALTIES
If delivery deadlines cannot be met, the Seller must notify the Buyer with an estimated new timeframe. For payment delays by the Buyer, a penalty of 0.5% per day of the owed amount shall apply. In case of billing or delivery errors, a new delivery term (max 30 working days) will be set.
Article 9 – BILLING AND PAYMENTS
Price, payment method, and terms are specified in the Order. The Seller will issue an invoice, and the Buyer must provide all necessary billing information.
Article 10 – RISKS AND RESPONSIBILITIES
10.1 Delivery: The Seller will dispatch Goods within 1–7 days from the change of status to "Delivery," notified via email. Delays due to exceptional conditions will be communicated.
10.2 Transport and Packaging: Unless agreed otherwise, the Seller’s responsibility ends upon handing over the Goods to the courier or Buyer’s representative. Goods will be properly packaged, with accompanying documents.
Article 11 – ACCEPTANCE
Acceptance occurs when Goods meet the Order's technical specifications. If not, the Seller will bring them into conformity at no cost to the Buyer, within the original execution timeframe. The Buyer may unilaterally cancel the Contract within 10 days (per Law 51/2003) and receive a refund within 30 days, subject to the return of undamaged, original-packaged Goods. The Seller may claim damages for bad-faith actions.
Article 12 – EXCESS GOODS
Goods delivered in excess may be refused by the Buyer within 7 calendar days.
Article 13 – WARRANTIES
Goods are covered against non-compliance for 12 months from invoice date, except consumables. Warranty terms are detailed in the Seller’s issued Certificate.
Article 14 – TRANSFER OF OWNERSHIP
Ownership transfers upon full payment and delivery, evidenced by signed delivery or invoice documents. Couriers are not authorized to allow package inspection before delivery acknowledgment.
Article 15 – COMPLIANCE WITH LAWS
The Seller shall comply with all laws related to manufacturing, packaging, transport, and delivery.
Article 16 – LIABILITY
The Seller is not liable for damages resulting from order fulfillment or product use post-delivery. The Seller is responsible if subcontractors or partners fail to meet obligations.
Article 17 – BREACH AND TERMINATION
If the Seller fails to meet obligations (including warranty), the Buyer will notify and both parties will agree on a remedy plan within 3 days. Orders may be canceled via email prior to dispatch.
Article 18 – FORCE MAJEURE
Neither party shall be held liable for contractual breaches caused by unforeseeable events beyond their control.
Article 19 – GOVERNING LAW AND JURISDICTION
This contract is governed by Romanian law. Disputes shall be resolved amicably or, if unresolved, by the competent courts at the Seller’s registered office.
Article 20 – MISCELLANEOUS
If any provision conflicts with applicable law, the parties shall agree on a new provision in line with the original intent.
Article 21 – GDPR DATA PROTECTION
Data controller: MYON BAITS SRL. Personal data is processed in accordance with applicable legislation. Data may only be used as permitted by law. This declaration applies solely to the website and its subdomains.
1. Data Security
1.1 MYON BAITS SRL implements appropriate technical and organizational measures to secure data. In case of a major data breach, users will be notified within 72 hours.
1.2 Users are responsible for securing their login information.
2. Minor Data Processing
2.1 Data processing is only intended for users aged 16 or older. Data from minors will be deleted upon discovery.
3. Data Collection and Processing
3.1 Data voluntarily submitted (e.g., contact forms) is processed for response purposes.
3.2 Cookies automatically collect data – see Section 7.
4. Partners
MYON BAITS SRL does not share personal data with partners.
5. Data Processing Without Consent
For general contact forms, personal data is stored for 12 months for response purposes.
6. Data Processing With Consent
For customer relationship management and newsletter subscriptions (double opt-in). Users may unsubscribe anytime.
7. Cookies and Social Plug-ins
Cookies store browser preferences to enhance user experience. First-party and third-party cookies may be used.
